MOST IMPORTANT TERMS AND CONDITIONS

The terms that matter most, in plain words.

SEBI requires every research analyst to publish these terms separately from the full agreement, so the points that most affect you are not buried. Read them before you subscribe — subscribing means you accept them.

TERM 01

We cannot trade on your behalf

These terms and conditions, and your consent to them, are for the research services provided by the research analyst. The research analyst cannot execute or carry out any trade — any purchase or sell transaction — on behalf of a client.

Clients are advised not to permit the research analyst to execute any trade on their behalf.

TERM 02

Fees are capped by SEBI

The fee charged to a client is subject to the maximum amount prescribed by SEBI and the Research Analyst Administration and Supervisory Body (RAASB) from time to time. This applies to individual and HUF clients.

₹1,51,000 PER ANNUM, PER FAMILY OF CLIENT, FOR ALL RESEARCH SERVICES
  • a.The fee limit does not include statutory charges.
  • b.The fee limit does not apply to a non-individual client or an accredited investor.
  • c.The limit is revised by SEBI from time to time; the figure above is the one currently in force.
TERM 03

Advance fees and refunds on early termination

Fees may be charged in advance if you agree to it. Such advance shall not exceed the period stipulated by SEBI — presently one year.

If the research services are terminated early, by you or by us, you are entitled to seek a refund of proportionate fees for the unexpired period.

TERM 04

How you may pay

Fees may be paid through any of the specified modes. You may optionally pay through the Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited, the currently recognised RAASB.

Cash payment is not allowed, under any circumstances.

TERM 05

Conflicts of interest

The research analyst is required to abide by the applicable regulations, circulars and directions specified by SEBI and RAASB from time to time, in relation to the disclosure and mitigation of any actual or potential conflict of interest.

We will endeavour to promptly inform you of any conflict of interest that may affect the services being rendered to you.

TERM 06

Assured return schemes are prohibited by law

Any assured, guaranteed or fixed return scheme, or any other scheme of a similar nature, is prohibited by law. No scheme of this nature will be offered to you by us.

If anyone — including someone claiming to represent us — offers you guaranteed returns, that is your signal that something is wrong. Report it to our compliance officer and to SEBI.

TERM 07

We cannot guarantee returns or accuracy

The research analyst cannot guarantee returns, profits, accuracy, or risk-free investments from the use of our research services.

All opinions, projections and estimates are based on the analysis of available data under certain assumptions, as of the date the research report was prepared or published.

TERM 08

Investments carry market risk, with no recourse

Any investment made on the basis of recommendations in research reports is subject to market risks, and recommendations do not provide any assurance of returns.

  • a.There is no recourse to claim any losses incurred on investments made on the basis of recommendations in a research report.
  • b.Any reliance placed on a research report shall be as per your own judgement and assessment of the conclusions it contains.
TERM 09

Registration is not a performance guarantee

SEBI registration, enlistment with RAASB, and NISM certification do not guarantee the performance of the research analyst or ensure any returns to the client.

TERM 10

How to raise a grievance

  2. Lodge a complaint on SEBI SCORES

    If the resolution is unsatisfactory, file it at scores.sebi.gov.in.

  3. Consider online dispute resolution

    You may also take the matter to the SMART ODR portal at smartodr.in for conciliation or arbitration.

TERM 11

Keep your contact details updated

Clients are required to keep their contact details, including email ID and mobile numbers, updated with the research analyst at all times. Reports, service notices and grievance responses are sent to the details on record.

Term 12 — We will never ask for your credentials

The research analyst shall never ask for a client’s login credentials or OTPs for their trading account, demat account or bank account. Never share such information with anyone, including us.

If someone impersonating us asks for them, or you have already shared them, report it immediately.
